The "simple" answer is if you are using Windows, a drag and drop from within each directory will prompt you if you are overwriting a file with the same name and will ask which one you want to keep with an "All" option. Vista will give you the option of keeping the older, newer, or both with the copy called <filename>(1)

Most automated copy programs copy the newer over the older to ensure you have the latest and greatest. You can also use xcopy from the command line, Robocopy or a chunk of freeware called Teracopy which is (was?) pretty good.
