Is this an OEM or Retail CPU?
If it's OEM are you using the correct heatsink for it?
If it's retail is the CPU fan clogged or not working.
Is the CPU fan working in either case?

Sounds like a bad HSF to me.
Open the side and observe if it is working correctly.
Sounds a little warm to me.
Not outside of spec but then again it is an older processor.
It might be more tempermental due to age.
Thats my best advice as of now.
