irfanview may be okay. I haven't tried picasa, but irfanview:
  • runs on Win2K
  • can open directories with pictures
  • deals with large amounts of photos, but its secondary application (one that opens folders for thumbnail view) may crash sometimes
  • not sure about commend/keyword handling. Though if you mean renaming files, it can do so with F2 key while you're viewing the image
  • not sure about search
