  1. Needs one or both Windows 98SE shutdown patches available from MS's website. Only one is available through Windows Update. The other is buried somewhere in the KB.
  2. Believe it or not, a bad/corrupted shutdown sound can cause this problem. If the sound file being played causes the media player component to crap out, it can prevent the system from shutting down correctly.
  3. Yes, power management settings can do it too..
  4. Lastly, a bad/corrupted device driver will cause this problem because Windows cannot properly terminate a running process which is using said device.
